PURPOSE OF REPRESENTATION<\/p>\n<p>1.01 Client hereby retains and employs Attorneys solely to investigate and\/or pursue any\nlegal recourse or remedy whether through litigation, administrative processes, or any other\nlawful means to recover client\u2019s verifiable funds held by FTX, any subsidiary, partner or other\ncrypto based domain whatsoever.<\/p>\n<p>II. ATTORNEY&#39;S FEES AND EXPENSES<\/p>\n<p>2.01 This Agreement is a contingency fee contract. FOR AND IN CONSIDERATION of the\nfaithful performance of such legal services on behalf of Client furnished or to be furnished by\nsaid Attorneys, Client hereby agrees to pay and hereby assigns to Attorneys, as compensation\nfor such services, the following described interests in and to all that may be recovered in\nsatisfaction of said claim of Clients by suit, compromise or otherwise:<\/p>\n<p><ul>a. 40% of such recovery if said recovery if recovery is made by settlement or payment of a jury verdict or judgment;<br \/>\nb. 45% of such recovery if said recovery is obtained after a jury verdict has been returned,\nand any steps towards appeal, including but not limited to, motion for new trial have been taken\nby any party, and if recovery is made by settlement, by collection of a judgment, or after appeal.<\/ul><\/p>\n<p>2.02 It is agreed and understood that if the amount of attorney&#39;s fees on this claim or cause of action, are regulated or governed by law, and that law precludes any other fee arrangement other than the amount set by the law or regulation, then the amount payable hereunder to said Attorney shall be limited to the maximum so allowed by law.<\/p>\n<p>2.03 Client acknowledges and agrees that this is a novel and complex endeavor and that the strategies used and decisions made regarding whether to file lawsuits, join existing lawsuits or class actions, seek recourse through any bankruptcy proceeding, or any other legal means of\nrecovery will be at the sole discretion of Attorneys. Client grants attorneys sole discretion to\nenter agreements with other lawyers, law firms and\/or governmental entities and grants\nattorneys full authority to execute such agreements on behalf of client and client agrees and\nconsents to attorneys fees being shared in accordance with said agreements.<\/p>\n\n<p>III. DEDUCTION OF EXPENSES<\/p>\n<p>3.01 All reasonable expenses incurred by Attorney in the handling of this project shall be\ndeducted from the net settlement proceeds at the time the case is settled or resolved, after the\ncontingent fee is calculated.<\/p>\n\n<p>3.02 The expenses contemplated above, include but are not limited to any and all out of\npocket expenses incurred in connection with this case, including but not limited to the following\nexpenses: filing fees, court costs, certified copies of documents, pleadings, orders etc.,\ntranscripts, depositions, duplication costs, postage, office supplies, photographs, trial exhibits,\nlong distance phone &amp; fax calls, appraisal fees, consultants, expert witnesses and other fees associated with preparation and trial testimony, investigation fees, delivery charges, overnight mail\/parcel services, parking, toll road &amp; mileage expenses, out of town expenses including travel expense, air fare, hotels, meals, and any other expense incurred in connection with the matter.<\/p>\n<p>IV. ASSIGNMENT OF INTEREST<\/p>\n<p>4.01 In consideration of Attorney&#39;s services, Client hereby sells, convey, and assigns to Attorney an interest to Client&#39;s claims and causes of action, and in any action, compromise, settlement, judgment, payment of services, profits or recovery thereon.<\/p>\n<p>4.02 All sums that may come due and payable under this contingency fee agreement are due at Attorney&#39;s office in Tarrant County, Texas.<\/p>\n<p>V. APPROVAL NECESSARY FOR SETTLEMENT<p>\n<p>5.01 Client will have sole authority to accept or reject any final settlement offer amount, and\nthe Attorneys shall provide Client advice with regard to any such offer(s).<\/p>\n<p>5.02 Attorney is hereby authorized to enter into any and all settlement negotiations on behalf of those whom Attorney represents as Attorney deems appropriate. This includes, but is not limited to, Attorney&#39;s prerogative to pursue cash or structured payment settlement negotiations.<\/p>\n<p>5.03 In the event Attorney enters into cash or structured settlement negotiations, Attorney is\nauthorized to negotiate on Client\u2019s behalf a settlement based upon the present value benefit of\nsaid settlement to Client.<\/p>\n<p>5.04 The present value benefit shall be determined by applying the appropriate discount rates that consider the after-tax benefits of the negotiated structured settlement to Client.<\/p>\n<p>5.05 In the event that the case is settled by way of structured settlement, Client hereby\napproves and authorizes Attorney&#39;s fees based upon the present value benefit of the settlement to Client.<\/p>\n<p>5.06 Client further authorizes Attorney to take Attorney&#39;s fee either in cash or in structured payments as Attorney deems appropriate.<\/p>\n<p>5.07 Client further hereby authorizes Attorney to retain structured settlement specialists to\nassist in evaluating the efficiency and benefits of such a settlement. Attorney is not required to\nretain such specialists but is authorized to employ the same. The fees for such specialists and\ntheir services will be deducted from the monies received, if any, in the settlement as an expense\nof litigation.<\/p>\n<p>5.08 Client hereby grants unto Attorney a power of attorney to handle negotiations and\nsettlement discussions regarding the obtaining of possession of any and all monies or other\nthings of value subject of the matter due to Client under this claim as fully as Client could do so\nin person.<\/p>\n\n<p><ul>\na. This expressly includes the right to sign Client&#39;s name on and to any insurance\ncompany drafts, money orders, cashier&#39;s checks, checks or other negotiable\ninstruments made payable to Attorney and Client, Attorney, or to Client without\nthe joinder of Attorney, submitted to Attorney on behalf of Client in full or partial\nsettlement of this case.<\/br>\nb. This limited power of attorney further authorizes Attorney to place these\nmonies, referred to above, in Attorney&#39;s trust account and from that trust account,\nmake distributions and payments to Attorney for the agreed to fee stated above,\nreimbursement to Attorney for any and all expenses incurred by Attorney in\nhandling this case, payments to Clients of Clients&#39; interest in the monies\nrecovered as stated above, and payments to parties other than Clients and\nAttorney for their services performed, fees charged or bills rendered in\nconnection with representing Clients including but not limited to medical bills,\ncourt reporter fees, deposition fees, investigative services, costs of exhibits or\nother special expenses incurred by Attorney on behalf of Clients.<\/ul><\/p>\n\n<p>5.09 No settlement of any nature shall be made for any of the aforesaid claims or profits of\nClient without the complete approval of Client, nor shall Client obtain any settlement on the\naforesaid claims without the complete approval of Attorney.<\/p>\n<p>5.10 Attorney is hereby granted a limited power of attorney so that Attorney may have full\nauthority to prepare, sign and file all legal instruments, pleadings, drafts, authorizations and\npapers as shall be reasonably necessary to conclude this representation including settlement\nand\/or reduce to possession any and all monies or other things of value due to Client under this\nclaim as fully as Client could do so in person.<\/p>\n<p>VI. REPRESENTATIONS<\/p>\n<p>6.01 It is expressly agreed and understood that no promises or guarantees as to the outcome of the case have been made to Client by Attorney. Attorneys shall be diligent and use best efforts and time as reasonably necessary to provide satisfactory performance of service, but it is expressly understood and agree that no assurances or guarantees or any quantitative\nmeasure or amount, if any, regarding the outcome of Client\u2019s case have been made or\ncould be made by Attorneys. Client also acknowledges that obtaining a judgment does not\nguarantee that the opposing party will be able to satisfy the judgment. It is further expressly\nunderstood and agreed that no other representations have been made to Client, except for\nthose set out in this Agreement.<\/p>\n<p>6.02 It shall be the exclusive privilege of Attorneys to determine when and where suits shall\nbe filed and whether or not appeal should be perfected from any judgment rendered. The\nAttorneys have the right to decide whether they will undertake any appeal in the event of a trial\nof the case.<\/p>\n<p>VII. COOPERATION OF CLIENTS<\/p>\n<p>7.01 Client shall keep Attorney advised of Client&#39;s whereabouts at all times, and provide Attorney with any changes of address, phone number or business affiliation during the time period which Attorney&#39;s services are required, and shall comply with all reasonable requests of Attorney in connection with the preparation and presentation of the aforesaid representation.<\/p>\n<p>7.02 Client shall provide Attorney with documentation necessary to prove a claim, and\nsubstantiate holdings through FTX, Coinbase, or any other exchange confirming amount(s) and\n\ntype, transactions, and other documentation deemed necessary by any court, administrative\nproceeding, governmental authority or attorney.<\/p>\n\n<p>VIII. TERMINATION OF CONTRACT<\/p>\n<p>8.01 Attorneys may, at their option, withdraw from the case and cease to represent Client for\nany reason, and clients further agree that, if after investigation of the facts and research of the\nlaw, attorney believes that clients\u2019 claims are of limited merit, attorney may cancel this\nagreement with clients and said cancellation will release attorney and the firm of John B Foster ESQ, from any further action on client\u2019s claim and discharge attorneys from this engagement agreement. Cancellation will be effected by certified mail to the last address provided by the client to attorneys.<\/p>\n<p>IX. TEXAS LAW TO APPLY<\/p>\n<p>9.01 This Agreement shall be construed under and in accordance with the laws of Texas, and all obligations of the parties created hereunder are performable in Tarrant County, Texas.<\/p>\n<p>X. PARTIES BOUND<\/p>\n<p>10.01 This Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective heirs, executors, administrators, legal representatives, successors and assigns where permitted by this Agreement.<\/p>\n<p>XI. WAIVER OF CONFLICT OF INTEREST<\/p>\n<p>11.01 Client agrees and acknowledges that Client is aware of a potential conflict of interest\ninvolved in representing Clients and Client\u2019s spouse, heirs or potential heirs in this case. Client\nis fully aware of such potential conflict and is aware that Client may seek independent counsel;\nhowever, Client acknowledges and agrees to waive any such conflict of interest in representing\nClient and Client\u2019s spouse, heirs or potential heirs in this case.<\/p>\n<p>XII. LEGAL CONSTRUCTION &#8211; SEVERABILITY<\/p>\n<p>12.01 In case any one or more of the provisions contained in this Agreement shall, for any\nreason, be held to be invalid, illegal, or unenforceable in any respect, such invalidity, illegality, or\nunenforceability shall not affect any other provisions thereof and this Agreement shall be\nconstrued as if such invalid, illegal, or unenforceable provision had never been contained\nherein.<\/p>\n<p>12.02 To the extent permitted by the applicable law and rules of Professional Responsibility,\nany disputes relating to the interpretation, enforcement, or alleged breach of this Contract shall\nbe submitted to binding arbitration in Texas. Judgment on any arbitration award may be entered\nby any court of competent jurisdiction. This includes any derivative claims, inclusive of legal\nnegligence, fraud, duress, misappropriation of funds, or any other claims against John B Foster ESQ, its partners, associates, or other representatives, arising out of the legal services made the basis of this contract.<\/p>\n<p>XIII. DISPOSITION OF FILE<\/p>\n<p>13.01 Client understands that, after Client\u2019s case is concluded, via final judgment and\/or Order of Withdrawal, the Attorneys will maintain its file on Client\u2019s matter for a period of four (4) years from date of such entry. After that time, the Attorneys may dispose of the file in accordance with its document retention policy, i.e, by way of shredding the file. Client should notify and understands that it is Client\u2019s responsibility to notify the Attorneys if they would like to have the file provided to them prior to the conclusion of this four year period. Any costs associated with the transmittal of the file shall be borne by the client.<\/p>\n<p>XIV. PRIOR AGREEMENTS SUPERSEDED<\/p>\n<p>14.01 This Agreement constitutes the sole and only Agreement of the parties and supersedes any prior understandings or written or oral agreement between the parties respecting the within subject matter.<\/p>\n<p>XV. NOTICE OF GRIEVANCE PROCESS. The State Bar of Texas investigates and\nprosecutes professional misconduct committed by Texas attorneys. Although not every\ncomplaint against or dispute with a lawyer involves professional misconduct, the State Bar\nOffice of General Counsel will provide you with information about how to file a complaint. TAX DISCLOSURE AND ACKNOWLEDGMENT: Client is advised to obtain\nindependent and competent tax advice regarding these legal matters since legal transactions\ncan give rise to tax consequences. The undersigned law firm and attorney have not agreed to\nrender any tax advice and are not responsible for any advice regarding tax matters or\npreparation of tax returns, or other filings, including, but not limited to, state and federal\ninheritance tax and income tax returns<\/p>\n\n<p>I certify and acknowledge that I have had the opportunity to read this Agreement. OBJETIVO DA REPRESENTA\u00c7\u00c3O <\/strong><\/p>\n<p>1.01 O CLIENTE constitui e emprega advogados exclusivamente para investigar e\/ou buscar  qualquer recurso ou solu\u00e7\u00e3o legal, seja atrav\u00e9s de lit\u00edgio, processos administrativos ou  qualquer outro meio legal para recuperar os fundos verific\u00e1veis do CLIENTE detidos pela FTX,  qualquer subsidi\u00e1ria, s\u00f3cio ou outro cripto dom\u00ednio de qualquer natureza. <\/p>\n<p><strong>II. HONOR\u00c1RIOS E DESPESAS ADVOCAT\u00cdCIAS<\/strong><\/p>\n<p>2.01 Este Contrato \u00e9 um contrato de honor\u00e1rios de sucumb\u00eancia. Levando em considera\u00e7\u00e3o a fiel execu\u00e7\u00e3o de tais servi\u00e7os legais em nome do CLIENTE, fornecido ou a ser fornecido por  tais Advogados, o CLIENTE pelo presente cede ou se obriga a pagar aos Advogados, como  remunera\u00e7\u00e3o por tais servi\u00e7os, as seguintes participa\u00e7\u00f5es descritas, e para tudo que possa ser  recuperado, em pagamento de tal reivindica\u00e7\u00e3o do CLIENTE por processo, transa\u00e7\u00e3o ou de  outra forma:  <\/p>\n<p>a. 40% de tal recupera\u00e7\u00e3o se a mesma for feita por acordo ou pagamento de um veredicto  do j\u00fari ou senten\u00e7a; <\/p>\n<p>b. 45% de tal recupera\u00e7\u00e3o se for obtida ap\u00f3s um veredicto do j\u00fari ter sido proferido, e  quaisquer medidas de recurso, inclusive se uma mo\u00e7\u00e3o para novo julgamento tiver sido  apresentada por qualquer parte, e se a recupera\u00e7\u00e3o for feita por acordo, por cobran\u00e7a de  senten\u00e7a, ou ap\u00f3s recurso. <\/p>\n<p>2.02 Fica acordado e entendido que se o valor dos honor\u00e1rios advocat\u00edcios sobre esta a\u00e7\u00e3o  judicial ou causa for regulado ou regido por lei, e que a lei impede qualquer outro arranjo de  honor\u00e1rios que n\u00e3o seja o valor estabelecido por lei ou regulamento, ent\u00e3o o valor a ser pago  ao VCDF LEGAL TEAM ser\u00e1 limitado ao m\u00e1ximo permitido por lei. <\/p>\n<p>2.03 O Cliente declara e concorda que este \u00e9 um empreendimento novo e complexo e que  as estrat\u00e9gias utilizadas e as decis\u00f5es tomadas em rela\u00e7\u00e3o \u00e0 apresenta\u00e7\u00e3o de a\u00e7\u00f5es judiciais,  \u00e0 jun\u00e7\u00e3o de a\u00e7\u00f5es judiciais existentes ou a\u00e7\u00f5es coletivas, na busca de recurso atrav\u00e9s de  qualquer processo de fal\u00eancia, ou qualquer outro meio legal de recupera\u00e7\u00e3o, ficar\u00e3o a crit\u00e9rio  exclusivo do VCDF LEGAL TEAM. O CLIENTE concede ao VCDF LEGAL TEAM o crit\u00e9rio  exclusivo de celebrar acordos com outros advogados, escrit\u00f3rios de advocacia e\/ou entidades  governamentais e concede ao VCDF LEGAL TEAM plena autoridade para executar tais  acordos em nome do CLIENTE e o CLIENTE concorda e consente que os honor\u00e1rios  advocat\u00edcios sejam compartilhados em consonante com esses tais acordos.<\/p>\n<p><strong>III. DEDU\u00c7\u00c3O DE DESPESAS <\/strong><\/p>\n<p>3.01 Todas as despesas razo\u00e1veis incorridas pelo VCDF LEGAL TEAM na condu\u00e7\u00e3o deste  projeto ser\u00e3o deduzidas do resultado l\u00edquido do pagamento quando o caso for acordado ou  resolvido, depois que os honor\u00e1rios de sucumb\u00eancia forem calculados. <\/p>\n<p>3.02 As despesas contempladas acima, incluem mas n\u00e3o se limitam a toda e qualquer  despesa incorrida em conex\u00e3o com este caso, inclusive as seguintes despesas, entre outras:  taxas de protocoliza\u00e7\u00e3o, custas judiciais, c\u00f3pias autenticadas de documentos, pe\u00e7as  processuais, ordens etc., transcri\u00e7\u00f5es, depoimentos, custos de duplica\u00e7\u00e3o, postagem, material  de escrit\u00f3rio, fotografias, material comprobat\u00f3rio, chamadas de longa dist\u00e2ncia por telefone e  fax, taxas de avalia\u00e7\u00e3o, consultores, testemunhas especializadas e outras taxas associadas \u00e0  prepara\u00e7\u00e3o e depoimentos em julgamento, taxas de investiga\u00e7\u00e3o, taxas de entrega, servi\u00e7os de  correio\/entregas urgentes, estacionamento, despesas de ped\u00e1gio e de quilometragem,  despesas fora da cidade, inclusive despesas de viagem, passagem a\u00e9rea, hot\u00e9is, refei\u00e7\u00f5es e  quaisquer outras despesas incorridas em conex\u00e3o com o caso. <\/p>\n<p><strong>IV. CESS\u00c3O DE PARTICIPA\u00c7\u00c3O <\/strong><\/p>\n<p>4.01 Como pagamento dos servi\u00e7os do VCDF LEGAL TEAM, o CLIENTE vende, transmite e  cede ao VCDF LEGAL TEAM uma participa\u00e7\u00e3o nas a\u00e7\u00f5es judiciais e causas do CLIENTE, e  em qualquer a\u00e7\u00e3o, transa\u00e7\u00e3o, acordo, senten\u00e7a, pagamento de servi\u00e7os, lucros ou recupera\u00e7\u00e3o  recorrente dessas a\u00e7\u00f5es ou causas. <\/p>\n<p>4.02 Todas as somas que venham a ser devidas e pag\u00e1veis de acordo com este contrato de  honor\u00e1rios de sucumb\u00eancia s\u00e3o devidas ao escrit\u00f3rio do VCDF LEGAL TEAM. <\/p>\nV. APROVA\u00c7\u00c3O NECESS\u00c1RIA PARA ACORDOS \n<p>5.01 O Cliente ter\u00e1 autoridade exclusiva para aceitar ou rejeitar qualquer valor final de oferta  de acordo, e o VCDF LEGAL TEAM dever\u00e1 prestar aconselhamento ao Cliente com rela\u00e7\u00e3o a  quaisquer ofertas deste tipo. <\/p>\n<p>5.02 O VCDF LEGAL TEAM est\u00e1 autorizado a entrar em toda e qualquer negocia\u00e7\u00e3o de  acordo em nome daqueles que \u00e0 VCDF LEGAL TEAM representa conforme \u00e0 VCDF LEGAL  TEAM julgar apropriado. Isto inclui, mas n\u00e3o est\u00e1 limitado \u00e0 prerrogativa da VCDF LEGAL  TEAM de prosseguir com negocia\u00e7\u00f5es de pagamento \u00e0 vista ou de pagamento parcelado. <\/p>\n<p>5.03 No caso de a VCDF LEGAL TEAM entrar em negocia\u00e7\u00f5es \u00e0 vista ou em pagamento  parcelado, \u00e0 VCDF LEGAL TEAM est\u00e1 autorizado a negociar em nome do CLIENTE um acordo  baseado no valor presente do benef\u00edcio de tal acordo para o CLIENTE. <\/p>\n<p>5.04 O benef\u00edcio do valor presente ser\u00e1 determinado pela aplica\u00e7\u00e3o das taxas de desconto  apropriadas que consideram os benef\u00edcios p\u00f3s-imposto do pagamento parcelado negociado  para o CLIENTE. <\/p>\n<p>5.05 Na hip\u00f3tese de o caso ser resolvido por meio de pagamento parcelado, o CLIENTE aprova e autoriza os honor\u00e1rios advocat\u00edcios com base no valor presente do benef\u00edcio do  acordo ao CLIENTE. <\/p>\n<p>5.06 O CLIENTE autoriza ainda \u00e0 VCDF LEGAL TEAM a aceitar honor\u00e1rios advocat\u00edcios em dinheiro ou em pagamentos parcelados, conforme o VCDF LEGAL TEAM julgar apropriado.<\/p>\n\n<p>5.07 O CLIENTE autoriza ainda \u00e0 VCDF LEGAL TEAM a contratar especialistas em  pagamentos parcelados para auxiliar na avalia\u00e7\u00e3o da efici\u00eancia e dos benef\u00edcios de tal  pagamento. O VCDF LEGAL TEAM n\u00e3o \u00e9 obrigado a contratar tais especialistas, mas est\u00e1  autorizado a empregar os mesmos. Os honor\u00e1rios de tais especialistas e seus servi\u00e7os ser\u00e3o  deduzidos do dinheiro recebido, se houver, no pagamento, como uma despesa de lit\u00edgio. <\/p>\n<p>5.08 O CLIENTE outorga ao VCDF LEGAL TEAM uma procura\u00e7\u00e3o para lidar com as  negocia\u00e7\u00f5es e discuss\u00f5es de acordos relativas \u00e0 obten\u00e7\u00e3o da posse de todo e qualquer  dinheiro ou outras coisas de valor objeto da a\u00e7\u00e3o devidas ao CLIENTE de acordo com esta  a\u00e7\u00e3o, t\u00e3o plenamente quanto o Cliente poderia faz\u00ea-lo pessoalmente. <\/p>\n<p><ul style=\u201dlist-style: none\u201d>\n<li>a. Isto inclui expressamente o direito de assinar em nome do CLIENTE para  qualquer saque de companhia de seguros, ordens de pagamento, cheques  administrativos, cheques ou outros t\u00edtulos negoci\u00e1veis feitos a pagar ao VCDF  LEGAL TEAM e ao CLIENTE, ao VCDF LEGAL TEAM ou ao CLIENTE sem a  associa\u00e7\u00e3o da VCDF LEGAL TEAM, apresentados ao VCDF LEGAL TEAM em  nome do CLIENTE no pagamento total ou parcial desta a\u00e7\u00e3o. <\/li>\n<li>b. Esta procura\u00e7\u00e3o limitada autoriza ainda ao VCDF LEGAL TEAM a colocar estas  quantias, mencionadas acima, na conta fiduci\u00e1ria da VCDF LEGAL TEAM e a  partir desta conta fiduci\u00e1ria, fazer distribui\u00e7\u00f5es e pagamentos a VCDF LEGAL  TEAM pelos honor\u00e1rios acordados acima, reembolso ao VCDF LEGAL TEAM de  toda e qualquer despesa incorrida pela VCDF LEGAL TEAM na condu\u00e7\u00e3o desta  a\u00e7\u00e3o, pagamentos ao CLIENTE da participa\u00e7\u00e3o do CLIENTE nas quantias  recuperadas, como mencionado acima, e pagamentos a outras partes al\u00e9m do  CLIENTE e VCDF LEGAL TEAM por seus servi\u00e7os executados, taxas cobradas  ou contas apresentadas em conex\u00e3o com a representa\u00e7\u00e3o do CLIENTE, incluindo, mas n\u00e3o se limitando a, contas m\u00e9dicas, honor\u00e1rios de relatores  judiciais, taxas de depoimentos, servi\u00e7os de investiga\u00e7\u00e3o, custos de material  comprobat\u00f3rio ou outras despesas especiais incorridas pela VCDF LEGAL  TEAM em nome do CLIENTE. <\/li>\n<\/ul><\/p>\n<p>5.09 Nenhum acordo de qualquer natureza ser\u00e1 feito para qualquer uma das a\u00e7\u00f5es ou lucros  do CLIENTE sem a aprova\u00e7\u00e3o total do CLIENTE, nem o CLIENTE obter\u00e1 qualquer acordo sobre as a\u00e7\u00f5es acima mencionadas sem a aprova\u00e7\u00e3o total da VCDF LEGAL TEAM. <\/p>\n<p>5.10 \u00c9 concedida uma procura\u00e7\u00e3o limitada a VCDF LEGAL TEAM para que a VCDF LEGAL  TEAM possa ter plena autoridade para preparar, assinar e protocolizar todos os instrumentos  legais, pe\u00e7as processuais, rascunhos, autoriza\u00e7\u00f5es e pap\u00e9is que forem razoavelmente  necess\u00e1rios para concluir esta representa\u00e7\u00e3o, incluindo acordo e\/ou converter a coisa em lit\u00edgio  em objeto da posse de todo e qualquer dinheiro ou outras coisas de valor devidos ao CLIENTE \nde acordo esta a\u00e7\u00e3o, t\u00e3o plenamente quanto o CLIENTE poderia faz\u00ea-lo pessoalmente.<\/p>\n<p><strong>VI. REPRESENTA\u00c7\u00d5ES <\/strong><\/p>\n<p>6.01 Fica expressamente acordado e entendido que nenhuma promessa ou garantia quanto  ao resultado do caso foi feita ao CLIENTE pela VCDF LEGAL TEAM. VCDF LEGAL TEAM deve ser diligente e usar o melhor esfor\u00e7o e tempo razoavelmente necess\u00e1rios para fornecer  um desempenho satisfat\u00f3rio do servi\u00e7o, mas \u00e9 expressamente entendido e acordado que  nenhuma garantia ou medida quantitativa ou quantia, se houver, relativa ao resultado do  caso do CLIENTE foi feita ou poderia ser feita pela VCDF LEGAL TEAM. O CLIENTE tamb\u00e9m reconhece que a obten\u00e7\u00e3o de uma senten\u00e7a n\u00e3o garante que a parte contr\u00e1ria ser\u00e1  capaz de satisfazer a senten\u00e7a. Al\u00e9m disso, fica expressamente entendido e acordado que \nnenhuma outra representa\u00e7\u00e3o foi feita ao CLIENTE, exceto aquelas estabelecidas neste  Contrato. <\/p>\n<p>6.02 Ser\u00e1 privil\u00e9gio exclusivo da VCDF LEGAL TEAM determinar quando e onde os  processos devem ser ajuizados e se o recurso deve ou n\u00e3o ser aperfei\u00e7oado a partir de  qualquer senten\u00e7a proferida. VCDF LEGAL TEAM t\u00eam o direito de decidir se ir\u00e3o recorrer no caso de um julgamento da a\u00e7\u00e3o. <\/p>\n<p><strong>VII. COOPERA\u00c7\u00c3O DOS CLIENTES <\/strong><\/p>\n<p>7.01 O CLIENTE dever\u00e1 manter o VCDF LEGAL TEAM sempre informado sobre o paradeiro  do CLIENTE, e fornecer ao VCDF LEGAL TEAM qualquer mudan\u00e7a de endere\u00e7o, n\u00famero de  telefone ou afilia\u00e7\u00e3o comercial durante o per\u00edodo em que os servi\u00e7os do VCDF LEGAL TEAM forem necess\u00e1rios, e dever\u00e1 cumprir com todas as solicita\u00e7\u00f5es razo\u00e1veis do VCDF LEGAL  TEAM em rela\u00e7\u00e3o \u00e0 prepara\u00e7\u00e3o e apresenta\u00e7\u00e3o da referida representa\u00e7\u00e3o.  <\/p>\n<p>7.02 O Cliente dever\u00e1 fornecer ao VCDF LEGAL TEAM a documenta\u00e7\u00e3o necess\u00e1ria para  provar uma a\u00e7\u00e3o, e substanciar as participa\u00e7\u00f5es atrav\u00e9s do FTX, Coinbase, ou qualquer outro  c\u00e2mbio confirmando quantia(s) e tipo, transa\u00e7\u00f5es, e outra documenta\u00e7\u00e3o considerada  necess\u00e1ria por qualquer juiz, processo administrativo, autoridade governamental ou VCDF  LEGAL TEAM.  <\/p>\n<p><strong>VIII. DO TRATAMENTO DE DADOS <\/strong><\/p>\n<p>Em observ\u00e2ncia \u00e0 Lei n\u00ba. 13.709\/18 \u2013 Lei Geral de Prote\u00e7\u00e3o de Dados Pessoais e demais  normativas aplic\u00e1veis sobre prote\u00e7\u00e3o de Dados Pessoais, manifesto-me de forma informada,  livre, expressa e consciente, no sentido de autorizar a VCDF LEGAL TEAM, a tomar decis\u00f5es  referentes ao tratamento de meus dados pessoais, bem como realize o tratamento de meus  dados pessoais, envolvendo opera\u00e7\u00f5es como as que se referem a coleta, produ\u00e7\u00e3o, recep\u00e7\u00e3o,  classifica\u00e7\u00e3o, utiliza\u00e7\u00e3o, acesso, reprodu\u00e7\u00e3o, transmiss\u00e3o, distribui\u00e7\u00e3o, processamento,  arquivamento, armazenamento, elimina\u00e7\u00e3o, avalia\u00e7\u00e3o ou controle da informa\u00e7\u00e3o, modifica\u00e7\u00e3o,  comunica\u00e7\u00e3o, transfer\u00eancia, difus\u00e3o ou extra\u00e7\u00e3o. <\/p>\n<p>8.01 USO, FINALIDADE E DADOS PESSOAIS TRATADOS<\/p>\n<p>VCDF LEGAL TEAM fica autorizado a realizar o tratamento e a tomar decis\u00f5es referentes ao  tratamento dos dados pessoais do CLIENTE, somente do(s) respectivo(s) uso(s) assinalados  abaixo: <\/p>\n<p><ul style=\u201dlist-style: none\u201d>\n<li>a) USO: AUTUA\u00c7\u00c3O EXTRAPROCESSUAL E PROCESSUAL . Dados Coletados:  nome, RG, CPF, endere\u00e7o, data de nascimento, dados da opera\u00e7\u00e3o financeira  realizada. <\/li>\n<li>b) USO: E-MAIL MARKETING . Dados coletados: Endere\u00e7o de e-mail. c) USO: CAPTURA DE LEADS. Dados coletados: Nome completo, endere\u00e7o de  e-mail, data de nascimento, dados locacionais. <\/li>\n<\/ul><\/p>\n<p>8.02 OUTRAS FINALIDADES  <\/p>\n<p>Al\u00e9m das finalidades relacionadas acima, fica autorizado a VCDF LEGAL TEAM a tomar  decis\u00f5es referentes ao tratamento dos dados listados do CLIENTE, para os seguintes fins:  <\/p>\n<p><ul>\n<li>Possibilitar que a VCDF LEGAL TEAM identifique e entre em contato com o CLIENTE para fins de contato institucional; <\/li>\n<li>Possibilitar que a VCDF LEGAL TEAM envie comunicados referentes \u00e0s atividades  relacionadas ao neg\u00f3cio contratado);  <\/li>\n<li>Possibilitar que a VCDF LEGAL TEAM analise indicadores e m\u00e9tricas;  <\/li>\n<li>Possibilitar que a VCDF LEGAL TEAM cumpra obriga\u00e7\u00f5es legais e regulat\u00f3rias; <\/li> Possibilitar que a VCDF LEGAL TEAM realize pesquisas e levantamentos estat\u00edsticos  diversos; <\/li>\n<li>Possibilitar que a VCDF LEGAL TEAM atenda \u00e0s determina\u00e7\u00f5es de autoridades  competentes;  <\/li>\n<li>Possibilitar que a VCDF LEGAL TEAM utilize tais dados para manter em seu banco de  dados para facilitar o contato em futuros convites ou divulga\u00e7\u00f5es de outros servi\u00e7os. <\/li>\n<\/ul><\/p>\n<p>8.03 COMPARTILHAMENTO DE DADOS  <\/p>\n<p>VCDF LEGAL TEAM fica autorizado a compartilhar os dados pessoais do CLIENTE com outros  agentes de tratamento de dados, caso seja necess\u00e1rio para as finalidades listadas neste  Termo, observados os princ\u00edpios e as garantias estabelecidas pela Lei n\u00ba 13.709\/2018. <\/p>\n<p>8.04 SEGURAN\u00c7A DE DADOS  <\/p>\n<p>VCDF LEGAL TEAM responsabiliza-se pela manuten\u00e7\u00e3o de medidas de seguran\u00e7a, t\u00e9cnicas e  administrativas aptas a proteger os dados pessoais de acessos n\u00e3o autorizados e de situa\u00e7\u00f5es  acidentais ou il\u00edcitas de destrui\u00e7\u00e3o, perda, altera\u00e7\u00e3o, comunica\u00e7\u00e3o ou qualquer forma de  tratamento inadequado ou il\u00edcito. Em conformidade ao art. 48 da Lei n\u00ba 13.709\/2018, a VCDF  LEGAL TEAM comunicar\u00e1 ao CLIENTE, ao seu respons\u00e1vel legal e \u00e0 Autoridade Nacional de  Prote\u00e7\u00e3o de Dados (ANPD) a ocorr\u00eancia de incidente de seguran\u00e7a que possa acarretar risco  ou dano relevante ao CLIENTE. <\/p>\n<p>8.05 T\u00c9RMINO DO TRATAMENTO DOS DADOS  <\/p>\nVCDF LEGAL TEAM poder\u00e1 manter e tratar os dados pessoais do CLIENTE durante todo o  per\u00edodo em que os mesmos forem pertinentes ao alcance das finalidades listadas neste Termo.  Dados pessoais an\u00f4nimos, sem possibilidade de associa\u00e7\u00e3o ao indiv\u00edduo, poder\u00e3o ser  mantidos por per\u00edodo indefinido. O CLIENTE poder\u00e1 solicitar via e-mail ou correspond\u00eancia ao  VCDF LEGAL TEAM, a qualquer momento, que sejam eliminados seus dados pessoais n\u00e3o  anonimizados. O CLIENTE fica ciente de que poder\u00e1 ser invi\u00e1vel ao VCDF LEGAL TEAM \ncontinuar o fornecimento de produtos ou servi\u00e7os ao CLIENTE a partir da elimina\u00e7\u00e3o dos dados  pessoais.  \n<p>8.06 DIREITOS DO CLIENTE <\/p>\n<p>O CLIENTE tem direito a obter da VCDF LEGAL TEAM, em rela\u00e7\u00e3o aos dados por ele tratados,  a qualquer momento e mediante requisi\u00e7\u00e3o: I &#8211; confirma\u00e7\u00e3o da exist\u00eancia de tratamento; II &#8211; acesso aos dados; III &#8211; corre\u00e7\u00e3o de dados incompletos, inexatos ou desatualizados; IV &#8211; anonimiza\u00e7\u00e3o, bloqueio ou elimina\u00e7\u00e3o de dados desnecess\u00e1rios, excessivos ou tratados em  desconformidade com o disposto na Lei n\u00ba 13.709\/2018; V &#8211; portabilidade dos dados a outro  fornecedor de servi\u00e7o ou produto, mediante requisi\u00e7\u00e3o expressa, de acordo com a regulamenta\u00e7\u00e3o da autoridade nacional, observados os segredos comercial e industrial; VI &#8211; elimina\u00e7\u00e3o dos dados pessoais tratados com o consentimento do titular, exceto nas hip\u00f3teses  previstas no art. 16 da Lei n\u00ba 13.709; VII &#8211; informa\u00e7\u00e3o das entidades p\u00fablicas e privadas com as  quais a VCDF LEGAL TEAM realizou uso compartilhado de dados; VIII &#8211; informa\u00e7\u00e3o sobre a  possibilidade de n\u00e3o fornecer consentimento e sobre as consequ\u00eancias da negativa; IX &#8211; revoga\u00e7\u00e3o do consentimento, nos termos do \u00a7 5\u00ba do art. 8\u00ba da Lei n\u00ba 13.709\/2018. <\/p>\n\n<p>8.07 DIREITO DE REVOGA\u00c7\u00c3O DO CONSENTIMENTO  <\/p>\n<p>Este consentimento poder\u00e1 ser revogado pelo CLIENTE, a qualquer momento, mediante  solicita\u00e7\u00e3o via email ou correspond\u00eancia a VCDF LEGAL TEAM, salvo \u00e0s hip\u00f3teses de  obrigatoriedade do tratamento de dados para cumprimento de obriga\u00e7\u00e3o legal ou regulat\u00f3ria  pela VCDF LEGAL TEAM. <\/p>\n<p><strong>IX. RESCIS\u00c3O DO CONTRATO <\/strong><\/p>\n<p>9.01 VCDF LEGAL TEAM pode, a seu crit\u00e9rio, desistir do caso e deixar de representar o  CLIENTE por qualquer raz\u00e3o, e os clientes concordam ainda que, se ap\u00f3s investiga\u00e7\u00e3o dos  fatos e pesquisa da lei, o VCDF LEGAL TEAM acreditar que as reivindica\u00e7\u00f5es dos clientes s\u00e3o  de m\u00e9rito limitado, o VCDF LEGAL TEAM poder\u00e1 cancelar este contrato com os clientes e tal  cancelamento liberar\u00e1 o VCDF LEGAL TEAM, de qualquer a\u00e7\u00e3o adicional sobre a a\u00e7\u00e3o do  Cliente e exonerar\u00e1 os advogados deste termo de compromisso. O cancelamento ser\u00e1  efetuado por carta registrada com aviso de recebimento para o \u00faltimo endere\u00e7o fornecido pelo  Cliente a o VCDF LEGAL TEAM. <\/p>\n<p><strong>X. LEIS DO TEXAS A APLICAR <\/strong><\/p>\n<p>10.01 Este Contrato dever\u00e1 ser interpretado sob e de acordo com as leis do Texas, e todas as  obriga\u00e7\u00f5es das partes aqui criadas s\u00e3o execut\u00e1veis na Comarca de Tarrant, Texas. <\/p>\n<p><strong>XI. PARTES VINCULADAS <\/strong><\/p>\n<p>11.01 Este Contrato ser\u00e1 vinculativo e reverter\u00e1 em benef\u00edcio das partes aqui presentes e de  seus respectivos herdeiros, executores, administradores, representantes legais, sucessores e  cession\u00e1rios, quando permitido por este Contrato. <\/p>\n<p><strong>XII. REN\u00daNCIA AO CONFLITO DE INTERESSES <\/strong><\/p>\n<p>12.01 O CLIENTE concorda e reconhece que est\u00e1 ciente de um conflito de interesses em  potencial envolvido na representa\u00e7\u00e3o dos clientes e do c\u00f4njuge, herdeiros ou poss\u00edveis  herdeiros do CLIENTE nesta a\u00e7\u00e3o. O CLIENTE est\u00e1 plenamente ciente de tal conflito  potencial e est\u00e1 ciente de que o CLIENTE pode buscar aconselhamento independente;  entretanto, o CLIENTE declara e concorda em renunciar a qualquer conflito de interesse em  representar o CLIENTE e o c\u00f4njuge, herdeiros ou poss\u00edveis herdeiros do CLIENTE nesta a\u00e7\u00e3o. <\/p>\n<p><strong>XIII. INTERPRETA\u00c7\u00c3O LEGAL \u2013 INDEPEND\u00caNCIA DAS DISPOSI\u00c7\u00d5ES CONTRATUAIS <\/strong><\/p>\n<p>13.01 Caso qualquer uma ou mais das disposi\u00e7\u00f5es contidas neste Contrato seja, por qualquer  raz\u00e3o, considerada inv\u00e1lida, ilegal ou inexequ\u00edvel sob qualquer aspecto, tal invalidade,  ilegalidade ou inexequibilidade n\u00e3o afetar\u00e1 quaisquer outras disposi\u00e7\u00f5es do mesmo e este  Contrato ser\u00e1 interpretado como se tal disposi\u00e7\u00e3o inv\u00e1lida, ilegal ou inexequ\u00edvel nunca tivesse  sido contida neste Contrato. <\/p>\n<p>13.02 Na medida do permitido pela lei e regras de Responsabilidade Profissional aplic\u00e1veis,  quaisquer disputas relativas \u00e0 interpreta\u00e7\u00e3o, execu\u00e7\u00e3o ou suposta viola\u00e7\u00e3o deste Contrato  dever\u00e3o ser submetidas \u00e0 arbitragem obrigat\u00f3ria no Texas. A senten\u00e7a sobre qualquer  senten\u00e7a arbitral poder\u00e1 ser proferida por qualquer juiz de jurisdi\u00e7\u00e3o competente. Isto inclui  quaisquer reclama\u00e7\u00f5es derivadas, incluindo neglig\u00eancia legal, fraude, coa\u00e7\u00e3o, apropria\u00e7\u00e3o indevida de fundos, ou quaisquer outras reclama\u00e7\u00f5es contra a VCDF LEGAL TEAM, seus  s\u00f3cios, associados ou outros representantes, decorrentes dos servi\u00e7os jur\u00eddicos que constituem  a base deste contrato. <\/p>\n<p><strong>XIV. DESTINA\u00c7\u00c3O DO ARQUIVO <\/strong><\/p> \n<p>14.01 O CLIENTE entende que, ap\u00f3s a conclus\u00e3o da a\u00e7\u00e3o do CLIENTE, via senten\u00e7a final  e\/ou Determina\u00e7\u00e3o de Retirada, o VCDF LEGAL TEAM manter\u00e1 seus arquivos sobre o caso do  CLIENTE por um per\u00edodo de quatro (4) anos a partir da data de tal proferimento. Ap\u00f3s esse  tempo, o VCDF LEGAL TEAM poder\u00e1 dispor dos arquivos de acordo com sua pol\u00edtica de  reten\u00e7\u00e3o de documentos, ou seja, atrav\u00e9s da fragmenta\u00e7\u00e3o dos arquivos. O CLIENTE deve  notificar e entender que \u00e9 responsabilidade do CLIENTE notificar a VCDF LEGAL TEAM se  eles quiserem que o arquivo lhes seja fornecido antes da conclus\u00e3o deste per\u00edodo de quatro  anos. Quaisquer custos associados \u00e0 transmiss\u00e3o do arquivo dever\u00e3o ser arcados pelo  CLIENTE. <\/p>\n<p><strong>XV. ACORDOS PR\u00c9VIOS SUBSTITU\u00cdDOS <\/strong><\/p>\n<p>15..01 Este Contrato constitui o \u00fanico Contrato das partes e substitui qualquer entendimento  pr\u00e9vio ou acordo escrito ou verbal entre as partes respeitando o objeto do mesmo.<\/p> \n<p><strong>XVI. NOTIFICA\u00c7\u00c3O DO PROCESSO DE RECLAMA\u00c7\u00c3O.<\/strong> A Ordem dos Advogados do  Estado do Texas investiga e processa a m\u00e1 conduta profissional cometida por advogados do  Texas. Embora nem toda reclama\u00e7\u00e3o contra ou disputa com um advogado envolva m\u00e1  conduta profissional, a Ordem dos Advogados do Estado lhe fornecer\u00e1 informa\u00e7\u00f5es sobre  como apresentar uma reclama\u00e7\u00e3o. DIVULGA\u00c7\u00c3O E DECLARA\u00c7\u00c3O DE IMPOSTOS:<\/strong> O CLIENTE \u00e9 aconselhado a obter  aconselhamento fiscal independente e competente em rela\u00e7\u00e3o a estas quest\u00f5es legais, uma  vez que as transa\u00e7\u00f5es legais podem dar origem a consequ\u00eancias fiscais. O VCDF LEGAL  TEAM n\u00e3o concordara em prestar qualquer consultoria tribut\u00e1ria e n\u00e3o s\u00e3o respons\u00e1veis por  qualquer consultoria relativa a quest\u00f5es tribut\u00e1rias ou prepara\u00e7\u00e3o de declara\u00e7\u00f5es de impostos,  ou outras declara\u00e7\u00f5es, incluindo, mas n\u00e3o se limitando a, declara\u00e7\u00f5es estaduais e federais de  imposto de sucess\u00f5es e imposto de renda. <\/p>\n<p>Atesto e declaro que tive a oportunidade de ler este Contrato.
